Our client is leading provider of content management software. This is a fantastic opportunity for a Legal Counsel to focus on commercial transactions and a variety of other corporate matters. The role will support the company’s US and EU locations for all general corporate matters and work on customer-facing transactions in the US and EU. Whilst the role has the attraction of considerable autonomy, working collaboratively as part of a small and fast-paced start-up operation is essential. Ideally the candidate will have strong academic credentials and 5 years at a law firm working in house with exposure to working in a global environment.

Responsibilities will include:
•Draft, review and negotiate a variety of transactional commercial agreements including software development and licensing, service agreements, inbound license agreements
•Support the continuous improvement of standard form agreements, the development of policies and procedures for commercial agreements and develop and be able to provide training to business and sales groups
•Advising clients on structuring complex deals

The successful candidate will preferably have knowledge and experience of open source software licensing – GPL. You will ideally have experience in a technology services or technology outsourcing environment and experience in intellectual property and IPR best practices, securities and corporate governance. You may have had previous experience in handling employment matters in the United States and Europe. The successful candidate will ideally have excellent business judgement, strategic thinking and financial background, may be highly organised and have attention to detail as well as the ability to multi-task and prioritise effectively. You will ideally have superior English language, written and verbal communication skills, excellent interpersonal skills and commitment to professionalism. French as a language is desirable but not essential.
