Our client is a very successful and established insurance syndicate within Lloyd's, the world's leading specialist insurance and reinsurance market. Since the formation they have grown to become one of the most successful insurance groups at Lloyd's. They are looking for an assistant company secretary to join their growing team.


Responsibilities include:
•Act as Company Secretary to all subsidiary Group companies and provide Company Secretarial
•Assist with all Corporate Governance requirements, corporate transactions, annual report and accounts disclosures and requirements
•AGM administration including Notice, mailing to shareholders and meeting arrangements
•Shareholder support including liaison with registrars, Investor Relations pages of website
•Operation of the Company’s Share Schemes
•Monthly administration, free shares and mailings to members
•ESOS exercises and benefit calculations
•Tax returns
•Provide advice and support in respect of all share plans
•Provide guidance to Company Secretarial Assistant as required, in particular on technical matters eg:
-Dividend payment arrangements
-Content of LSE announcements
-Ensure that Blueprint statutory records are kept up to date and ensure timely and accurate filing of documents at Companies House
-shareholder matters
•Compliance with listing rule requirements (eg Insider Lists and ensuring announcements made) and Companies Act
•CISX Listing Obligations for £50m debt
•Data Protection Act compliance including maintenance of registration and adherence to Principles
•Trademark registration and maintenance
•Assist with department budgeting
•Manage annual renewal process for the group corporate insurance programme [(professional and commercial lines, and life policies)] including liaison with brokers, completion of renewal forms

You will ideally have 4 or 5 years of core plc Company Secretarial practice & procedures including share schemes administration. You may have pension scheme and corporate insurance experience and knowledge of the Lloyd’s market, managing agency or insurance sector. You will also preferably be qualified ACIS or Graduate of the Institute.
